Terms of Use

By accessing or using CaseFlow's services, you agree to be bound by these Terms of Use ("Terms"). CaseFlow reserves the right to update these Terms at any time without prior notice. Your continued use of the Services constitutes acceptance of any modifications. The most current version of these Terms can be reviewed on our website.

If you do not agree to these Terms, you must immediately cease using our Services.

These Terms, together with our Privacy Policy and any additional agreements, constitute the complete agreement between you and CaseFlow regarding your use of our Services and supersede all prior agreements and communications.

Age Restriction: The Services are available only to individuals who are 13 years of age or older. By using our Services, you represent that you are at least 13 years old. If you are under 13, you must immediately stop using our Services.

Service Modifications: CaseFlow may modify, suspend, or discontinue any aspect of the Services at any time without notice. We will provide notice of material changes to the Services by posting updates on our website or via email.

Free Services: Basic features may be provided at no charge.

Paid Services: Enhanced features require a paid subscription. Subscription fees are:

• Due in advance for the selected billing period (monthly or annual)
• Non-refundable except as expressly stated in these Terms
• Subject to change with 30 days' notice posted on our website
• Owed regardless of actual usage of the Services

Billing: Your payment method will be automatically charged at the start of each billing period. You are responsible for maintaining valid payment information.

Account Security: You are responsible for:

• Maintaining the confidentiality of your password and login credentials
• All activities that occur under your account
• Immediately notifying CaseFlow of any unauthorized access or security breach
• Ensuring only one person uses each login (shared logins are prohibited)

Account Information: You must keep your account information current and accurate. Failure to respond to CaseFlow inquiries within five (5) business days may result in account suspension or termination.

CaseFlow reserves the right to suspend or terminate accounts that provide false, misleading, or incomplete information.

General Prohibitions

• Violate any applicable law, regulation, or third-party right
• Engage in any unlawful, harmful, or fraudulent activity
• Interfere with or disrupt the Services or servers
• Access the Services through unauthorized means
• Bypass any security measures or access controls
• Use automated systems (bots, scrapers) without permission
• Overburden or impair the Services or networks

Content Prohibitions

• Post, transmit, or distribute illegal, harmful, or inappropriate content
• Harass, threaten, defame, or abuse others
• Violate intellectual property rights
• Distribute malware, viruses, or harmful code
• Engage in spam, phishing, or unsolicited communications
• Misrepresent your identity or affiliation
• Share false or misleading information

Platform Misuse

• Use the Services for any purpose harmful to minors
• Attempt to gain unauthorized access to user accounts or data
• Reverse engineer or attempt to extract source code
• Create derivative works or competing services
• Resell or redistribute the Services
• Use the Services in connection with pyramid schemes, chain letters, or fraudulent activities

SMS Notifications: CaseFlow uses SMS messaging to facilitate communication between law firms and clients. By providing your phone number, you:

• Consent to receive SMS notifications from CaseFlow and law firms using the platform
• Acknowledge that standard message and data rates may apply
• Understand that you can opt out at any time by replying "STOP"

Communication Monitoring: CaseFlow reserves the right to monitor communications sent through the platform for:

• Fraud prevention
• Security purposes
• Customer support
• Compliance with laws and policies

We do not review communications for marketing purposes or sell communication data to third parties.

Fees: All fees are stated in U.S. dollars and are due immediately upon ordering. Fees are non-refundable unless otherwise stated.

Payment Methods: We accept credit cards and other payment methods as indicated during checkout. You authorize us to charge your payment method for all fees incurred.

Automatic Renewal: Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You will be charged the then-current rate for your subscription level.

Failed Payments: If payment fails, we may suspend or terminate your access to the Services. You remain responsible for all unpaid amounts.

Price Changes: We may modify pricing with 30 days' notice. Continued use after a price change constitutes acceptance of the new pricing.

Disputes: You must notify us of billing disputes within sixty (60) days of the charge appearing on your statement. Failure to dispute within this period constitutes acceptance of the charge.

No Refunds: CaseFlow maintains a no-refund policy. Fees paid are non-refundable regardless of usage or early termination, except as required by law.

Data Location: Your data is stored on servers located in the United States (AWS).

Security: While we implement reasonable security measures, we cannot guarantee absolute security. You are responsible for:

• Maintaining secure passwords and login credentials
• Limiting access to your devices
• Promptly reporting security incidents

Backups: CaseFlow performs regular backups but is not liable for data loss. You are responsible for maintaining your own backups of critical data.

No Liability for Damages:

CASEFLOW SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING:

• Loss of profits or revenue
• Loss of data or information
• Loss of business opportunity
• Loss of goodwill
• Any other intangible losses

This limitation applies regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise) and even if CaseFlow has been advised of the possibility of such damages.

Maximum Liability: In no event shall CaseFlow's total aggregate liability exceed the amount you paid to CaseFlow in the twelve (12) months preceding the claim.

Your Responsibility:

YOU ARE SOLELY RESPONSIBLE FOR ANY LOSSES OR DAMAGES INCURRED AS A RESULT OF USING THE SERVICES.

Essential Purpose: These limitations are fundamental elements of the agreement between you and CaseFlow. The Services would not be provided without these limitations.

Some jurisdictions do not allow limitations on certain types of damages. In such jurisdictions, our liability is limited to the fullest extent permitted by law.

Defense Obligation: If CaseFlow notifies you of a claim, you must:

• Promptly provide written confirmation of your indemnification obligation
• Allow CaseFlow to participate in the defense through counsel of its choice
• Cooperate fully with CaseFlow during the proceedings
• Not settle any claim without CaseFlow's prior written consent

CaseFlow's Rights: CaseFlow reserves the right to assume exclusive defense and control of any matter subject to indemnification, at your expense.

Governing Law: These Terms are governed by the laws of the State of New York, without regard to conflict of law principles.

Jurisdiction: Any disputes must be resolved in the state or federal courts located in New York County, New York. You consent to the personal jurisdiction and venue of these courts.

Binding Arbitration: Except for intellectual property claims, all disputes arising from these Terms or the Services must be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.

No Class Actions:

YOU AGREE THAT YOU WILL NOT BRING OR PARTICIPATE IN ANY CLASS ACTION OR CLASS PROCEEDING. All disputes must be brought individually.

Arbitration Process:

• Arbitration will be conducted in New York, New York
• The arbitrator's decision is final and binding
• Judgment on the award may be entered in any court of competent jurisdiction
• Each party bears its own costs unless otherwise awarded by the arbitrator

Informal Resolution: Before initiating arbitration, you agree to first contact us to attempt informal resolution.

Time Limit: Any claim must be filed within one (1) year after the incident giving rise to the dispute occurred. Failure to file within this period constitutes a complete waiver and bar to the claim.

Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and CaseFlow regarding the Services.

Severability: If any provision is found unenforceable, it will be modified to reflect the parties' intention, and the remaining provisions remain in full effect.

No Waiver: CaseFlow's failure to enforce any right or provision does not constitute a waiver of that right or provision.

Assignment: You may not assign these Terms without our prior written consent. CaseFlow may assign these Terms at any time.

No Third-Party Beneficiaries: These Terms do not create any third-party beneficiary rights except as expressly stated.

Survival: Provisions regarding ownership, intellectual property, disclaimers, limitations of liability, indemnification, and dispute resolution survive termination of these Terms.

Force Majeure: CaseFlow is not liable for failure to perform due to circumstances beyond its reasonable control.
